1. Introduction
This Artwork & Intellectual Property Policy explains how Jolly Clothing Ltd t/a samedaybags.com ("we", "us", "our") manages customer artwork, logos, branding, intellectual property and design files supplied in connection with quotations and orders.
It also explains the responsibilities of customers when providing artwork and the respective ownership rights relating to artwork created, amended or reproduced by us.
This policy should be read alongside our:

2. Scope
This policy applies to all artwork and intellectual property supplied to us or created by us in connection with:
- printed bags;
- embroidered products;
- promotional merchandise;
- product visual mock-ups;
- quotations;
- proofs;
- repeat orders;
- website uploads;
- email submissions;
- online artwork approval.
It applies whether artwork is supplied by:
- businesses;
- schools;
- charities;
- clubs;
- organisations;
- public sector bodies; or
- individual consumers.
3. What We Mean by Artwork
For the purposes of this policy, Artwork includes, but is not limited to:
- logos;
- brand identities;
- illustrations;
- photographs;
- graphics;
- vector artwork;
- PDF files;
- EPS files;
- AI files;
- SVG files;
- PNG files;
- JPEG images;
- embroidery files;
- text;
- names;
- numbers;
- slogans;
- QR codes;
- social media icons;
- barcodes;
- bespoke designs;
- layouts prepared for production.
4. Customer Responsibility
When supplying artwork, you confirm that:
- you own the artwork; or
- you have obtained all necessary licences, permissions and approvals to authorise its use.
This includes any:
- registered trade marks;
- company logos;
- sports club logos;
- charity branding;
- school emblems;
- photographs;
- illustrations;
- copyrighted material.
You are solely responsible for ensuring that the artwork may lawfully be reproduced.
5. Copyright and Intellectual Property
Copyright and all other intellectual property rights in customer-supplied artwork remain with the original owner.
Nothing within our services transfers ownership of your intellectual property to us. Likewise, nothing within this policy transfers ownership of our own intellectual property to you.
6. Permission to Use Your Artwork
By submitting artwork to us, you grant Jolly Clothing Ltd a non-exclusive licence to:
- reproduce it;
- resize it;
- edit it where necessary for production;
- convert file formats;
- prepare print-ready artwork;
- digitise it for embroidery;
- create production files;
- store it for future repeat orders;
- use it solely for fulfilling your quotation or order.
This licence continues only for as long as reasonably necessary to fulfil our contractual obligations and retain artwork for repeat orders, unless you request deletion where legally permissible.
7. Artwork Amendments
Where artwork supplied requires adjustment before production, we may:
- resize designs;
- improve image quality where reasonably possible;
- recreate low-resolution artwork;
- convert fonts to outlines;
- redraw logos;
- separate colours for screen printing;
- simplify artwork where required for embroidery.
Significant artwork recreation or design work may incur additional charges, which will be advised before work is undertaken wherever practicable.
8. Artwork Quality
The quality of the finished product is heavily influenced by the quality of the artwork supplied.
Low-resolution files may not reproduce satisfactorily. Where suitable artwork is not available, we may recommend that artwork is recreated before production.
Whilst every reasonable effort is made to improve supplied files, we cannot guarantee high-quality results where the original artwork is of poor quality.
9. Customer Approval
Before production begins, customers may receive a digital artwork proof or visual mock-up.
The purpose of this proof is to allow you to check:
- spelling;
- grammar;
- names;
- dates;
- logos;
- colours;
- positioning;
- sizing;
- orientation;
- overall appearance.
It is your responsibility to review the proof carefully. Approval confirms that you authorise production to proceed using the approved artwork.
10. Responsibility Following Approval
Once artwork has been approved, responsibility for the accuracy of the approved design passes to the customer.
We cannot normally accept responsibility for errors that were visible within an approved proof, including:
- spelling mistakes;
- incorrect names;
- incorrect dates;
- inaccurate contact details;
- colour selections requested by the customer;
- approved positioning.
If changes are requested after approval, additional charges and revised production schedules may apply.
11. Colours
Every reasonable effort is made to reproduce colours accurately. However:
- printed colours may differ slightly from colours displayed on electronic devices;
- fabrics and materials may affect colour appearance;
- different decoration methods may produce different visual results;
- different manufacturers' products may vary in shade.
Where Pantone references are supplied, we will aim to achieve the closest practical match but cannot guarantee an exact colour reproduction in every production process.
12. Print and Embroidery Tolerances
All production processes include recognised manufacturing tolerances.
Minor variations in:
- print position;
- embroidery position;
- stitch density;
- stitch direction;
- thread appearance;
- ink coverage;
- garment placement;
are considered acceptable within normal commercial manufacturing standards and do not constitute defects.
13. AI-Generated Artwork
We recognise that customers may choose to supply artwork created or assisted using artificial intelligence (AI) tools.
Where AI-generated or AI-assisted artwork is submitted, you confirm that:
- you have the right to use the artwork;
- its use does not knowingly infringe the intellectual property rights of any third party;
- you accept responsibility for ensuring that any commercial use of the artwork is lawful.
We do not independently verify the ownership or originality of AI-generated content and reserve the right to decline artwork where there is a reasonable concern regarding copyright, trade mark infringement or other intellectual property rights.
14. Third-Party Logos and Trade Marks
Many of our customers ask us to reproduce company logos, school crests, charity branding, sports club emblems and other third-party trade marks.
By requesting us to reproduce such artwork, you confirm that:
- you have the authority to use the logo or trade mark;
- all necessary permissions have been obtained;
- reproduction of the artwork will not infringe the rights of any third party.
We may request evidence of permission where appropriate.
15. Right to Refuse Artwork
We reserve the right to refuse to reproduce artwork where we reasonably believe it:
- infringes copyright;
- infringes registered or unregistered trade marks;
- breaches another person's intellectual property rights;
- contains unlawful material;
- is defamatory;
- promotes hatred or discrimination;
- contains offensive, abusive or obscene material;
- encourages illegal activity; or
- may expose us to legal or reputational risk.
Where possible, we will explain the reason for our decision and, where appropriate, invite you to provide alternative artwork.
16. Customer Indemnity
You agree to indemnify and hold harmless Jolly Clothing Ltd against any claim, loss, damage, liability, cost or expense arising from the reproduction of artwork, logos or other materials supplied by you where such claims relate to alleged infringement of copyright, trade marks, design rights or other intellectual property rights.
This indemnity applies only to the extent permitted by applicable law and does not affect any rights you may have under consumer protection legislation.
17. Artwork Storage
To help provide a quicker and more efficient service, we may retain approved artwork, production files, embroidery files and associated order information after an order has been completed.
Retaining artwork allows us to:
- process repeat orders more efficiently;
- maintain consistency across future orders;
- reduce artwork setup costs where applicable;
- improve production turnaround times.
Artwork is retained in accordance with our Privacy Policy and only for as long as reasonably necessary for these purposes or to comply with legal obligations.
18. Repeat Orders
Where previously approved artwork is reused for a repeat order, we will normally reproduce the artwork as it was last approved unless you instruct us otherwise.
It is your responsibility to notify us if any aspect of the artwork, wording, colours, branding or design requires updating before production begins.
We cannot accept responsibility for reproducing previously approved artwork where no amendments have been requested.
19. Requests to Delete Artwork
If you wish us to delete artwork that we hold on your behalf, you may contact us at any time.
Where there is no legal or contractual reason requiring us to retain the files, we will take reasonable steps to delete them from our active production systems within a reasonable period.
Deletion of artwork may mean that:
- repeat orders require new artwork setup;
- embroidery files need to be recreated;
- additional artwork charges may apply for future orders.
Certain records may continue to be retained where required for accounting, legal, contractual or regulatory purposes.
20. Promotional Photography
From time to time, we may photograph completed products for quality control, internal training, marketing or portfolio purposes.
Unless otherwise agreed, this may include products displaying customer branding, logos or artwork. However, we will not intentionally disclose confidential information or use products in a way that suggests endorsement by the customer.
If you would prefer that your completed products are not used for promotional purposes, please let us know before production begins. We will make reasonable efforts to accommodate such requests, particularly where products contain confidential, embargoed or sensitive branding.
21. Design Services
Where we create original artwork, layouts or design concepts specifically for you, ownership of the underlying design files, working files and production artwork will remain with Jolly Clothing Ltd unless otherwise agreed in writing.
Upon payment for the agreed work, you will receive the finished artwork or products as specified in your quotation or order.
Any transfer of copyright or ownership in original design work must be expressly agreed in writing and may be subject to an additional fee.
22. Limitation of Liability
Whilst we exercise reasonable care in handling customer artwork and production files, we cannot accept liability for:
- errors contained within customer-supplied artwork;
- inaccuracies in approved proofs;
- poor-quality source files;
- colour differences arising from production methods or materials;
- delays resulting from late approval of artwork;
- intellectual property claims relating to artwork supplied by the customer.
Nothing in this policy excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
23. Changes to This Policy
We may update this Artwork & Intellectual Property Policy from time to time to reflect changes in legislation, industry practice or our business operations.
The latest version will always be published on our website.
24. Governing Law
This policy shall be governed by and interpreted in accordance with the laws of England and Wales.
Any dispute arising in connection with this policy shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer legislation provides otherwise.
