1. Introduction
These Terms & Conditions of Sale ("Terms") govern the sale and supply of all products and services by Jolly Clothing Ltd, trading as samedaybags.com ("we", "us", "our"), to our customers ("you", "your").
These Terms apply to all quotations, orders and contracts for the supply of goods and services unless otherwise agreed in writing.
By placing an order with us, you confirm that you have read, understood and accepted these Terms.
These Terms should be read alongside our:

3. Definitions
For the purposes of these Terms:
- Business Customer means any company, charity, school, club, organisation, public body or person purchasing products primarily for business, professional or organisational purposes.
- Consumer means an individual purchasing products wholly or mainly for personal use.
- Order means your request to purchase products or services from us.
- Quotation means a written estimate provided by us before an Order is accepted.
- Products means any bags, garments, promotional products or related goods supplied by us.
- Artwork includes logos, illustrations, photographs, text, graphics, embroidery files, print-ready artwork, vector files and any other material supplied by or created for the Customer.
- Working Day means Monday to Friday excluding public holidays in England and Wales.
4. Quotations
All quotations are provided in good faith based on the information available at the time they are prepared.
Unless otherwise stated:
- quotations remain valid for 30 calendar days;
- prices are subject to sight of final approved artwork;
- prices are exclusive of VAT unless stated otherwise;
- delivery charges are quoted separately unless expressly included;
- quotations are subject to stock availability.
If your requirements change after a quotation has been issued, we reserve the right to amend pricing accordingly.
5. Prices
We make every reasonable effort to ensure our prices are accurate.
However, prices may change due to factors including:
- manufacturer price increases;
- raw material costs;
- freight charges;
- exchange rate fluctuations;
- legislative changes;
- significant changes to artwork or specifications.
Where a pricing error is identified before your Order is accepted, we will contact you before proceeding.
No contract is formed until we have accepted your Order.
6. Product Information
We aim to ensure that all product descriptions, specifications and photographs are as accurate as possible.
However:
- colours displayed on screens may differ from the finished product;
- material textures and finishes may vary;
- dimensions are approximate;
- manufacturers may amend specifications without prior notice;
- slight manufacturing variations are normal and do not constitute defects.
Where a significant specification change affects your Order, we will discuss suitable alternatives with you before production begins.
7. Samples
Sample products may be available upon request.
Unless otherwise agreed:
- samples may be chargeable;
- carriage charges may apply;
- personalised samples may incur artwork and setup costs.
Samples are provided to help assess quality and suitability. Minor variations between samples and production items may occur due to different production batches, materials or decoration methods.
8. Placing an Order
Orders may be placed:
- through our website;
- by email;
- by telephone;
- through an authorised representative.
When placing an Order, you are responsible for ensuring that all information provided is accurate, including:
- product selection;
- quantities;
- colours;
- sizes;
- delivery address;
- billing information;
- artwork;
- spelling and wording;
- special instructions.
If incorrect information is supplied and production has commenced, additional charges may apply to rectify the Order.
9. Acceptance of Orders
An Order becomes binding only when we issue written confirmation accepting it.
We reserve the right to decline or cancel an Order before acceptance where, for example:
- products are unavailable;
- pricing errors have occurred;
- supplied artwork infringes third-party rights;
- fraudulent activity is suspected;
- payment authorisation cannot be obtained;
- we are unable to fulfil the Order for operational reasons.
Where payment has already been received for an Order that cannot be accepted, any sums paid will be refunded.
10. Artwork Approval
Before production begins, you may be provided with a digital artwork proof or visual mock-up for approval.
It is your responsibility to check:
- spelling;
- grammar;
- names;
- dates;
- colours;
- positioning;
- sizing;
- logos;
- overall design.
Production will normally commence only after approval has been received.
Approval confirms that you accept responsibility for the accuracy of the approved artwork. Changes requested after approval may incur additional costs and may affect production schedules.
11. Production
Production times quoted by us are estimates unless expressly confirmed in writing.
Production will normally commence once:
- artwork has been approved;
- payment has been received where required;
- all necessary information has been provided;
- any agreed samples have been approved.
We will make every reasonable effort to meet agreed production schedules but cannot accept liability for delays caused by circumstances outside our reasonable control.
12. Personalised Products
As the majority of our products are customised to your individual requirements, they are manufactured specifically for you.
Personalisation may include, but is not limited to:
- Screen printing
- Embroidery
- Digital printing
- Heat transfer printing
- Individual names
- Numbers
- Logos
- Bespoke artwork
- Custom colours
- Special packaging
Once production has commenced, personalised products cannot usually be amended, cancelled or returned unless they are faulty or do not conform to the agreed specification.
13. Consumer Cancellation Rights
Where you are purchasing as a consumer, your statutory rights under UK consumer legislation remain unaffected.
However, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the right to cancel does not generally apply to goods that are made to the consumer's specifications or are clearly personalised.
For this reason:
- Orders for personalised products cannot normally be cancelled once production has begun.
- If cancellation is requested before production has started, we will consider the request and may agree to it at our discretion.
- Any work already carried out, including artwork preparation, visual mock-ups, setup costs or special-order products, may still be chargeable.
- Where an order relates solely to non-personalised stock products, any applicable statutory cancellation rights will be honoured.
14. Customer Responsibilities
You are responsible for ensuring that all information supplied to us is complete and accurate.
This includes:
- Product selection
- Quantities
- Colours
- Sizes
- Delivery details
- Contact information
- Spelling
- Names
- Dates
- Artwork
- Logos
- Print positions
- Embroidery instructions
We cannot accept responsibility for errors contained within approved artwork or information supplied by the customer.
15. Colours and Product Variations
Every reasonable effort is made to achieve accurate reproduction of colours.
However, you acknowledge that:
- Colours displayed on computer monitors, tablets and mobile devices may differ from printed products.
- Different decoration methods may produce slightly different colour appearances.
- Different materials absorb inks differently.
- Products from different manufacturers may vary in shade, even where colour names are identical.
- Slight colour variation between production batches is an accepted characteristic of textile and promotional product manufacturing.
Unless specifically agreed in writing, exact colour matching cannot be guaranteed.
Where Pantone colour matching is requested, we will make every reasonable effort to achieve the closest possible match, but minor variations may still occur.
16. Print and Embroidery Tolerances
The positioning of printed or embroidered designs is carried out using professional production methods.
Minor variations in placement are an accepted part of the manufacturing process.
Unless otherwise agreed, reasonable manufacturing tolerances do not constitute defects. Examples include:
- slight positional variation;
- minor colour variation;
- embroidery stitch variation;
- small differences between production batches.
These tolerances reflect normal industry practice.
17. Payment
Payment terms will be confirmed at the time of quotation or order.
Unless otherwise agreed, payment may be made by:
- Debit card
- Credit card
- Bank transfer
- Other approved payment methods made available through our website
For certain business customers, schools, charities or public sector organisations, payment may be accepted against an official purchase order where agreed in advance.
We reserve the right to withhold production or dispatch until payment has been received or satisfactory payment arrangements have been agreed.
18. Delivery
Delivery dates provided by us are estimates unless expressly confirmed in writing.
Whilst we work hard to achieve agreed production schedules, delays can occasionally occur due to circumstances beyond our reasonable control. Examples include:
- courier delays;
- severe weather;
- industrial action;
- supply chain disruption;
- manufacturer delays;
- customs delays (where applicable);
- force majeure events.
Where practical, we will keep you informed of any significant delays.
19. Split Deliveries
Where necessary, we reserve the right to dispatch orders in multiple consignments.
This may occur where:
- products become available at different times;
- large orders require multiple packages;
- operational requirements make split delivery more efficient.
Unless otherwise agreed, this will not result in additional delivery charges being applied to you.
20. Risk and Ownership
Risk in the Products passes to you upon delivery.
Ownership of the Products will remain with Jolly Clothing Ltd until full payment has been received in cleared funds.
Until ownership passes:
- you must take reasonable care of the Products;
- you must not dispose of or sell the Products without our written agreement where payment remains outstanding.
21. Inspection of Goods
You should inspect your order as soon as reasonably practicable following delivery.
If you believe that:
- products are damaged;
- products have been supplied incorrectly;
- items are missing;
- products do not match the agreed specification,
please notify us as soon as possible. Prompt notification greatly assists us in resolving any issues quickly and efficiently.
22. Claims
If you believe there is a problem with your order, we may request:
- photographs;
- batch information;
- product samples;
- additional details regarding the issue.
Where appropriate, we may:
- replace the affected products;
- repair the products;
- offer a partial refund;
- provide another mutually agreed resolution.
Each claim will be assessed individually based upon the specific circumstances.
23. Returns
Our Delivery & Returns Policy forms part of these Terms & Conditions and should be read alongside this document.
As many of our products are personalised or manufactured to your individual specification, returns are handled differently from standard retail products.
Unless products are faulty, damaged, incorrectly supplied or otherwise required by law, personalised products cannot normally be returned.
Where non-personalised stock items are supplied, returns may be accepted subject to our Delivery & Returns Policy.
Products should not be returned without first contacting us and receiving confirmation of the appropriate returns procedure.
24. Faulty or Incorrect Goods
We take great care to ensure all products are manufactured and inspected before dispatch.
If you believe your order is faulty or has not been produced in accordance with the agreed specification, please notify us as soon as reasonably practicable.
Where appropriate, we may request:
- photographs;
- batch details;
- product samples;
- additional information relating to the issue.
If we determine that a product is faulty or incorrectly supplied, we will, at our discretion and in accordance with your statutory rights:
- repair the product;
- replace the product;
- provide a refund; or
- agree another suitable remedy.
Nothing in these Terms limits your statutory rights.
25. Customer-Supplied Materials
Where customers provide products, artwork or other materials for us to personalise or use in connection with an Order, they remain the customer's responsibility until received by us.
Whilst every reasonable care is taken, we cannot accept responsibility for loss of or damage to customer-supplied items where this results from circumstances beyond our reasonable control or from the nature or condition of the items supplied.
We recommend that valuable or irreplaceable items are not supplied for personalisation unless this has been specifically agreed in advance.
26. Intellectual Property
Ownership of customer logos, trademarks and other intellectual property remains with the customer or the relevant rights holder.
By supplying artwork, you confirm that you have the necessary rights, permissions or licences to use it.
You agree to indemnify us against any claims arising from the use of artwork or materials supplied by you that infringe the rights of a third party.
Our own branding, website content, photography, visual mock-ups (where not incorporating your intellectual property), designs, documents and marketing materials remain the intellectual property of Jolly Clothing Ltd unless otherwise agreed in writing.

27. Force Majeure
We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from circumstances beyond our reasonable control.
Examples include, but are not limited to:
- acts of God;
- severe weather;
- flood;
- fire;
- pandemic or epidemic;
- industrial disputes;
- power failures;
- cyber incidents affecting third-party infrastructure;
- transport disruption;
- supplier failure;
- government restrictions;
- war or civil unrest.
Where such circumstances arise, we will use reasonable endeavours to minimise disruption and keep you informed.
28. Limitation of Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation; or
- any other liability which cannot legally be excluded.
Subject to the above, and to the fullest extent permitted by law:
- our total liability arising out of any Order shall not exceed the amount paid for the Products giving rise to the claim;
- we shall not be liable for indirect, consequential or purely economic losses such as loss of profit, loss of business or loss of opportunity, except where such exclusion is prohibited by law.
Nothing in this clause affects the statutory rights of consumers.
29. Events Beyond Our Control
Where an event beyond our reasonable control prevents or delays the fulfilment of an Order, we will not be treated as being in breach of these Terms for the duration of that event.
Where such delays become significant, we will discuss appropriate options with you.
30. Suspension or Cancellation by Us
We reserve the right to suspend or cancel an Order before production commences where:
- payment has not been received in accordance with agreed terms;
- fraudulent activity is suspected;
- customer instructions are unlawful;
- supplied artwork infringes third-party rights;
- circumstances arise that make fulfilment impossible or commercially impracticable.
Where appropriate, we will discuss the matter with you before taking such action.
31. Changes to These Terms
We may amend these Terms from time to time to reflect changes in legislation, business practices or operational requirements.
The version published on our website at the time your Order is accepted will apply to that Order unless otherwise required by law.
32. Severability
If any provision of these Terms is found by a court or competent authority to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
33. Entire Agreement
These Terms, together with our:
- Privacy Policy;
- Cookie Policy;
- Website Terms of Use;
- Artwork & Intellectual Property Policy; and
- Delivery & Returns Policy,
constitute the entire agreement relating to the supply of products and services by Jolly Clothing Ltd t/a samedaybags.com, unless otherwise agreed in writing.
34. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.
Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer legislation provides otherwise.
